GIYUS.ORG MAY MODIFY THIS AGREEMENT. NOTICE OF ANY MODIFICATION WILL BE POSTED ON THE GIYUS.ORG WEB SITE ( WWW.GIYUS.ORG). SUCH MODIFICATION WILL BECOME EFFECTIVE SEVEN (7) DAYS AFTER POSTING. YOUR CONTINUED USE OF THE SERVICES FOLLOWING NOTICE OF ANY MODIFICATION TO THIS AGREEMENT INDICATES THAT YOU ACCEPT THE MODIFICATION. IF YOU ARE DISSATISFIED WITH ANY MODIFICATION MADE TO THIS AGREEMENT BY GIYUS.ORG, OR WITH ANY POLICIES OR PRACTICES OF GIYUS.ORG IN PROVIDING THE SERVICES, YOUR ONLY RECOURSE IS TO TERMINATE YOUR MEMBERSHIP BY DELIVERING NOTICE TO GIYUS.ORG. SUCH NOTICE WILL BE EFFECTIVE UPON RECEIPT.
This Community Member Services and Software License Agreement (the “Agreement”) is between you (“You”) and Giyus.Org, You and Giyus.Org agree as follows:
1. Services to be Provided; Beta Phase. Giyus.Org offers certain services, free of charge, for voicing your opinions about Israeli-related matters on the Internet (the “Services”), described more fully at www.giyus.org (the “Services Description”). You acknowledge that the Services and Software (defined below) are currently in beta phase and may be modified by Giyus.Org at any time. Any comments, suggestions or feedback You provide to Giyus.Org regarding the Services may be used by Giyus.Org, at its discretion, in any manner, without liability or obligation to You. Giyus.Org may require You to agree to a new or modified agreement for the Services after the beta period in order for You to continue to use the Services.
2. Use by Community Member. You agree to use the Services only in accordance with this Agreement and with the Terms of Use and Privacy Policy to be posted on the Giyus.Org web site (collectively the “Giyus.Org Documentation”). Your election to use the Services indicates your acceptance of the terms of the Giyus.Org Documentation, so please review them carefully. In order to use the Services, You may be required to have an account with Giyus.Org and to choose a password. You are responsible for maintaining the confidentiality of your password and of your account information. You are responsible for all activities that occur on your account and You agree to notify Giyus.Org immediately of any unauthorized use of your account. Giyus.Org is not responsible for any loss or damages that You may incur as a result of any unauthorized use of your account or password. At all times, You must use the Services in accordance with all laws and regulations, including any Internet regulations or policies and applicable export laws. You may not sell or re-sell the Services to others or authorize the use of the Services or your account by any third party, including using the Services to operate a service bureau.
3. No Use by Children. Giyus.Org does not offer the Services to children. You may not use the Giyus.Org web site, the Services or the Software (as defined below) if You are under the age of 13, or to collect information from children under the age of 13.
4. Membership in the Giyus Community. For purposes of receiving the Services, You agree to become a member of Giyus.Org's user community (the “Giyus Community”). You hereby warrant and represent that You have sole control of and responsibility for your computer and that You have the legal right to become a member in the Giyus Community.
5. Elections and Authorizations of a Community Member. BY CLICKING ON THE "I AGREE" BUTTON BELOW, YOU HEREBY AGREE TO TAKE THE FOLLOWING ACTIONS AND GRANT THE FOLLOWING AUTHORIZATIONS TO GIYUS.ORG:
a. Giyus.Org may analyze your reported offensive sites.
b. Giyus.Org may send you alerts to notify you about offensive Internet sites or other information at Giyus.Org’s sole discretion.
c. You understand and agree that although Giyus.Org makes reasonable efforts to ensure the accuracy of its alerts, Giyus.Org cannot guarantee their accuracy.
d. If you elect to voice your opinion following an alert from Giyus.Org, you agree and understand that you are solely responsible for the content of your opinion and for your actions.
6. License to Giyus.Org Software. For purposes of receiving the Services, You may need to download, install and run the Software on your computer system. Additional features may be added to the Software and/or to the Services and may be made available to You from time to time. You understand and agree that Giyus.Org may provide updates, patches and/or new versions of the Software from time to time, including automatic updates that will be installed on your computer, with notice to You, as needed to continue to use the Services, and You hereby authorize such installations. Giyus.Org grants to You a non-exclusive, non-transferable, royalty-free, license to install, execute and otherwise use the Software in accordance with this Agreement. Different terms may apply with respect to applicable portions of the Software, as identified below. The Software is licensed, not sold, and all rights not expressly granted to You are reserved by Giyus.Org and its licensors. You agree not to, nor to authorize or assist others to: (a) modify or alter the Software or its behavior, or otherwise use the Software, in a manner that contradicts this Agreement; (b) rent, sublicense, assign, sell or otherwise transfer the Software or any of your licensed rights in the Software, or (c) use the Software on a service bureau or time sharing basis, to provide services to third parties, or to connect to servers other than the Giyus.Org servers.
7. No Spyware, Adware or Spam.
a. The Software is safe to use and does not contain any spyware, adware of malware. If at any time you wish to uninstall the software, you may do so from the Start Menu.
b. We do not collect your email addresses nor do we send you any emai, unless you have specifically requested to receive updates from us.
8. Term and Termination. Unless otherwise terminated, this Agreement shall remain in effect for as long as the Services are provided to You. Either You, or Giyus.Org, may terminate this Agreement without cause by providing notice of such termination to the other party. Giyus.Org may suspend any or all of the Services, without any liability or obligation to You, if Giyus.Org, at its sole discretion, believes that You are using the Services in any manner that is illegal, abusive or in violation of this Agreement (including the Giyus.Org Documentation). Giyus.Org will endeavor to, but shall not be required to, provide You with notice of any such termination for cause. Upon termination of this Agreement, (i) Giyus.Org will immediately cease providing the Services to You and You will no longer receive, or have any access to, the Services; and (ii) You will cease all further use of the Software and will destroy any and all copies of the Software in your possession.
9. Indemnification. You agree to indemnify, defend and hold harmless Giyus.Org, its affiliates, officers, directors, employees, consultants, and agents from any and all claims, liability, damages and costs (including without limitation attorneys fees and legal costs) arising out of or related to your use of the Services or the Software, or your violation of this Agreement.
10. Disclaimer of Warranties. THE SERVICES AND SOFTWARE ARE PROVIDED AND MADE AVAILABLE BY GIYUS.ORG TO YOU “AS IS.” GIYUS.ORG MAKES NO WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, REGARDING THE SERVICES, THE SOFTWARE, OR OTHERWISE UNDER THIS AGREEMENT, AND SPECIFICALLY DISCLAIMS THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND AGAINST INFRINGEMENT, TO THE MAXIMUM EXTENT POSSIBLE BY LAW.
GIYUS.ORG MAKES NO WARRANTIES REGARDING THE QUALITY, RELIABILITY, TIMELINESS OR SECURITY OF THE SERVICES OR SOFTWARE, OR THAT THE SERVICES OR SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE.
11. Limitation of Liability.
a. GIYUS.ORG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR FOR ANY LOSS OF PROFITS, BUSINESS, REVENUE, DATA OR DATA USE INCURRED IN ANY WAY OR IN CONNECTION WITH THE SERVICES, THE SOFTWARE, OR THIS AGREEMENT BY YOU OR ANY THIRD PERSON, EVEN IF GIYUS.ORG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
b. IN ANY EVENT, YOUR ENTIRE REMEDY, AND GIYUS.ORG'S TOTAL LIABILITY, FOR ALL CLAIMS IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE LESSER OF US$10.00 OR THE TOTAL AMOUNT OF FEES YOU PAID FOR THE SERVICES OR THE SOFTWARE.
c. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitations may not apply to You.
12. General.
a. You may not assign or in any way transfer your rights or obligations under this Agreement without the prior written consent of Giyus.Org.
b. Failure by Giyus.Org to enforce any provision of this Agreement shall not be construed as a wavier of any provisions or right.
c. Unless otherwise provided in this agreement, all notices in connection with this Agreement shall be deemed given when sent, either by electronic mail or via regular mail, to, as applicable, the address designated by Giyus.Org on Giyus.Org's web site or to the address designated by You when subscribing to the Services.
d. This Agreement shall be governed by and construed in accordance with the Israeli law, exclusive of its conflict of laws principles. The parties submit to the exclusive jurisdiction of Tel Aviv Courts in any dispute arising from this Agreement.
e. You agree not to export the Software to any country to which the applicable government authorities forbids export, or at the time of export, requires an export license or approval, without first obtaining such license or approval.
f. With regard to use of the Software by or for the benefit of a unit or agency of the U.S. Government, You acknowledge and agree that the Software is classified as “commercial computer software” and the related documentation is classified as “commercial computer software documentation” or “commercial items” pursuant to DFARS or FAR Section 12.212, as applicable. Use, reproduction, display or disclosure of the Software by the United States Government is subject to the restrictions of this Agreement.
g. This Agreement, together with the Giyus.Org Documentation and the Services Description, set forth the entire Agreement and understanding of the parties with respect to the subject matter hereof and supersede all prior discussions and agreements between the parties with respect to the subject matter of this Agreement. In the event of a conflict between a provision of this Agreement and a provision of any of the Giyus.Org Documentation or the Services Description, the provision of this Agreement will control.
h. If any provision of the Giyus.Org Documentation, including any provision of this Agreement, is unenforceable, it shall be modified to the extent needed to make it enforceable, if possible and if consistent with the intent of the parties, and in any event, all other provisions of the Giyus.Org Documentation remain in full force and effect.
